1. General Terms
These General Terms and Conditions of purchase apply to all business relations with our business partners: shops, wholesalers, distributors. These General Terms and Conditions are exclusively applicable. Alterations and supplementary General Terms and Conditions will only become a contact component when/if approved in all cases.
All individual agreements made with the partners take precedence over General Terms and Conditions prior to written contract.
2. Conclusion of Contract
Order is deemed binding when submitted through online order form. The Partner shall inform of any mistakes regarding the order and incomplete orders, for the purpose of correction immediately; otherwise the alterations shall be considered invalid. Order is processed within 2 days from being submitted. The standard production time is 3-14 days; in times of intensified production it may take up to 21 days for order to be completed.
3. Pricing and Terms of Payment
The price indicated in the order is binding. All prices are net, not including value added tax, to be indicated separately, where applicable. Pro-forma invoice shall be prepared and sent with the total order price, including delivery fee together with bank transfer information. The pro-forma invoice shall indicate all positions ordered, with their detail specifications. The total price shall be paid within 7 days from pro-forma invoice delivery, prior to order’s dispatch. All payments shall be made based on pro-forma invoice through bank transfers, accordingly to the data given on the pro-forma invoice. We shall never participate in the cost of any bank transfers- the value given on the payment document is final. We cannot be held responsible for delays caused by the banks involved in the payment process.
4. Delivery Time and Cost
The delivery time and cost is specified after order is submitted. Compliance with the delivery time and date will be determined by our receipt of payment. All orders are shipped by DPD, UPS, or TNT shipping partners. Shipping information is provided by e-mail once the order has been dispatched. The risk of damage to or loss of the Products shall exclude us as soon as the Products have been handed over to the person carrying out the transportation, or as soon as the Products have left our warehouse. Any claims regarding faults in delivery shall be made to the person responsible for transportation.
5. Confidentiality
Illustrations, drawings, calculations, produkt descriptions, pricing and other documents we provide for the Partner in line with our business relationship shall be treated as strictly confidential by the Partner and shall remain our property. The Partner’s duty of confidentiality shall remain effective until the information contained in the documents has become common knowledge. Any business information to which we provide access shall not be disclosed to third parties.
The Partner shall respect our copyrights and is obliged to never copy nor make imitations of the products in our offer, photos or information, prior to our written consent.
6. Indemnity
The Partner shall indemnify us from all third party claims asserted against us, provided we are not at fault. The Partner shall inform us immediately after becoming aware of any claims regarding products manufactured by us, and consult with us in detail in the event such claims are asserted against the Partner.
7. Manufacturer Liability
We warrant 24 months from the date of first invoicing to all items delivered under these terms and conditions. The above warranty is given subject to the following conditions: we shall not be liable for any defect in the products arising from any design or specifications supplied by the Partner; we shall not be liable under the above warranty if the total price for the products has not been paid by the Partner at the due date of payment. The warranty does not cover colour alterations, nor defects or damages to the products which are due to improper maintenance, misuse, neglect or any cause other than ordinary commercial application. Any claim by the Partner which is based on any defect in the quality or condition of the products shall be notified to us within two weeks from the date of delivery. Where any valid claim in respect of any product which is based on any defect in the quality or condition of the product is notified to us in accordance with these Terms and Conditions, we shall be entitled at out sole discretion to either replace the product free of charge or repair it.
8. Applicable Law and Jurisdiction
These Terms and Conditions and all legal relations between us and the Partner are subject to the Polish laws at the respective location of the goods.
